Similarly, during a corporate merger or acquisition, an absorbed company is formally dissolved, and creditors have a strict, short window (as little as 30 days) to formally object if their outstanding debts are at risk. Miss these critical legal windows, and your right to recover those funds is permanently lost.

Tracking these announcements manually through the Official Gazette and daily newspapers is tedious and leaves too much room for human error. The Decree API solves this by giving your software programmatic, real-time access to official Omani liquidation, merger, and dissolution announcements.

This year saw historic legislative milestones, from the promulgation of the Personal Income Tax Law and the Banking Law, to the establishment of the Court of Investment and Commerce and the creation of the Projects, Tenders, and Local Content Authority. This blog post reviews the most significant royal decrees that came out this year.

Laws & Amendments

17 Royal Decrees

The year 2025 was a landmark year for Omani legislation, introducing several major new laws that reshape the economic and social landscape. Most notably, the Personal Income Tax Law was issued, marking a significant shift in the nation’s fiscal policy. Other critical pieces of legislation included the new Banking Law, the Public Health Law, the Electronic Transactions Law, and the Law Regulating Real Estate. Significant attention was also given to social and human rights issues with the issuance of the Law Combating Human Trafficking, the Law of the Rights of Persons with Disabilities, and the Law Regulating the Transfer and Transplantation of Human Organs and Tissues.

Systems & Amendments

2 Royal Decrees

In Oman, the term “system” refers to a legal instrument that governs the operation of a government entity or the operation of a government legal process. The most significant new system that came out in 2025 was the System of the Central Bank of Oman, which accompanied the new Banking Law. Additionally, amendments were made to the System of the Social Protection Fund to align it with ongoing social protection reforms.

Gov Restructuring

10 Royal Decrees

The government continued its restructuring efforts to enhance efficiency and investment appeal. The most significant development was the establishment of the Court of Investment and Commerce and the issuance of its law. Another major restructuring involved the Secretariat General of the Tender Board, which was renamed and expanded into the Projects, Tenders, and Local Content Authority. The Alternative Investment Market was established this year.

Treaties

36 Royal Decrees

Oman ratified a substantial number of treaties this year, reflecting its active diplomatic and economic engagement. A historic milestone was the approval of Oman’s accession to the International Covenant on Civil and Political Rights. The year featured a flurry of visa exemption agreements with countries such as Russia, Iran, Indonesia, Belarus, and the Maldives, alongside double taxation agreements with nations including Bahrain, Iraq, and Tanzania.

Concessions

12 Royal Decrees

Concession agreements for exploration and mining were approved for multiple blocks, including agreements with Al Tamman Indsil Mining, Oman Chromite Company, and Wusta Mining Company. In the energy sector, the Marsa Protocol relating to the concession for Block 10 was also approved.

Nationality

7 Royal Decrees

Omani nationality is granted, revoked, and re-instated by royal decree and this category had 6 royal decrees in this area, including decrees granting Omani nationality and explicitly authorizing dual nationality with British and Russian citizenships.

Appointments

14 Royal Decrees

The most significant appointments made by royal decree this year were the appointment of a new Governor for the Central Bank of Oman along with confirmation of the appointment of a President for the Projects, Tenders, and Local Content Authority.

Misc

12 Royal Decrees

In addition to the categories detailed above, there were 9 royal decrees regarding miscellaneous, yet important, topics such as approving the General Budget of the State for 2025 and establishing the Special Economic Zone in Rawdah and the Special Economic Zone in the Governorate of Dhahirah, as well as licensing Space Communication Technologies.

For example, when a member views the Personal Income Tax Law, a new Ask Lex button will appear on the corner of the page. The user can use this command to ask questions about the Personal Income Tax Law without having to query Decree’s entire database. This process is usually faster and can provide more accurate answers when the user needs information from a single specific item.

When Lex AI Spotlight is unable to find the answer in the currently viewed item, the user will be advised to use the full version of Lex AI.

Lex AI and Lex AI Spotlight are available through a bundle subscription to Decree. They are available for free for all Decree members on all subscription plans for the whole of the month of September.

While Lex AI is capable of generating compliance checklists, Decree Toolkits goes beyond this by providing a curated collection of easy to use checklists that are reviewed and verified by our legal team. Each toolkit provides key information regarding the application of the item in question along with a breakdown of the key obligations imposed and a highlight of potential fines for failing to comply. Decree Toolkits are also downloadable in Excel and adopt a structure commonly used by compliance practitioners in Oman, which should allow our users to download our checklists and customize them to work with their workflows.

The previous version of the OLCS only covered the rules for citing Omani legislation of all levels. We updated the OLCS to include new rules for citing Omani court judgments as well as Ministry of Justice and Legal Affairs fatwas.

We are also launching today new automation tools for generating OLCS compliant citation. You can now use a Citation Assistant on the OLCS website to easily generate legislation, cases, and fatwas citations. A similar feature has also been added to the free Decree Chrome Extension to allow you to quickly generate citations directly from your browser toolbar.

There were also amendments to the System of the Tax Authority and a new System of Sultan Qaboos University was issued as well. Gov Restructuring

11 Royal Decrees

The most significant government restructuring of 2024 was the creation of the Financial Services Authority as a replacement for the Capital Market Authority. The National Fund for Emergency Cases, the National Records Centre, and the Omani Waqf Establishment were also created this past year.

Treaties

25 Royal Decrees

Oman ratified a substantial number of treaties this year, with the majority being air service agreements (14 in total) along with some double taxation agreements, visa exemption agreements, and work authorisation agreements. One of the more noteworthy conventions that Oman joined this year is the Kigali Amendment to the Montreal Protocol, which is an international agreement to gradually reduce the consumption and production of hydrofluorocarbons.

Concessions

4 Royal Decrees

Pursuant to the Oil and Gas Law, petroleum concessions were given this year for Block 15, Block 38, and Block 74. A royal decree also approved the nomination of rights in connection with Block 65.

3 Royal Decrees

Omani nationality is granted, revoked, and re-instated by royal decree and this category had 3 royal decrees in this area.

Appointments

11 Royal Decrees

The most significant appointments made by royal decree this year were the appointment of Nasser Al-Jashmi as the Chairman of the Tax Authority, the appointment of Khalid Al-Ghammari as the Undersecretary of the Ministry of Labour for Labour, the appointment of Zahra Al-Lawatiya as the Deputy Chairman of SAI, and the appointment of Mahmood Al-Owaini as the Secretary General of the Ministry of Finance.

Misc
